These Terms and Conditions ("Terms") govern your use of nexalabs.tech (the "Site") and the products and services offered by Nexa Labs ("we," "us," "our"). By using the Site, you agree to these Terms.

1. Who We Are

Nexa Labs is an independent software studio building small, focused software products, including Nexa SiteAudit, Nexa QuoteFlow, and Nexa InvoiceChaser.

2. Current Status of Purchases

Paid purchases are not currently available on this Site. You may join a waitlist for early access to a product, which does not create any obligation on our part to deliver a specific product by a specific date, and does not involve any payment. If and when paid purchases become available, updated terms covering pricing, payment, and your right of withdrawal under EU consumer law will be published here and presented before checkout.

3. Beta and Early-Access Products

Products marked "Beta" or "Coming soon" are under active development. They are provided on an "as is" and "as available" basis, without warranty of any kind, and their features, availability, and pricing may change before a stable release.

4. Acceptable Use

You agree not to misuse the Site, including attempting to disrupt its operation, submitting false information through our forms, or using the Site for any unlawful purpose.

5. Intellectual Property

All content on the Site — including text, branding, logos, and product designs — is owned by Nexa Labs or its licensors. Nothing in these Terms grants you any rights to our intellectual property beyond what is necessary to use the Site normally.

6. Limitation of Liability

To the fullest extent permitted by law, Nexa Labs is not liable for any indirect, incidental, or consequential damages arising from your use of the Site. Nothing in these Terms limits any liability that cannot legally be limited or excluded under Dutch or EU consumer protection law.

7. Governing Law

These Terms are governed by the laws of the Netherlands. Disputes will be submitted to the competent Dutch courts, without prejudice to any mandatory consumer-protection rights you have in your own country of residence.
